1. Acceptance of Terms

Welcome to GoTasty. These Terms of Service ("Terms") govern your access to and use of the GoTasty website, mobile applications, and services (collectively, the "Services") provided by GoTasty, Inc. ("GoTasty," "we," "us," or "our").

By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, do not use our Services.

2. Description of Services

GoTasty provides a platform that enables restaurants, cafés, and food service businesses ("Merchants") to:

  • Create and manage branded online ordering websites and mobile applications
  • Process customer orders and payments
  • Implement loyalty and rewards programs
  • Execute marketing campaigns and communications
  • Access analytics and business insights
  • Integrate with point-of-sale systems

3. Account Registration

3.1 Eligibility

To use our Services, you must be at least 18 years old and have the legal capacity to enter into binding contracts. By creating an account, you represent and warrant that you meet these requirements.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized access or use of your account.

3.3 Accurate Information

You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

4. Subscription and Fees

4.1 Subscription Plans

GoTasty offers various subscription plans as described on our pricing page. The features available to you will depend on your selected plan.

4.2 Fees and Payment

You agree to pay all fees associated with your subscription plan. Fees are charged on a monthly or annual basis, depending on your selected billing cycle. All fees are non-refundable except as expressly set forth in these Terms.

4.3 Commission Fees

In addition to subscription fees, GoTasty charges a commission of 1% on all orders processed through the platform. Standard payment processing fees (approximately 2.9% + $0.30 per transaction) also apply and are charged by our payment processor.

4.4 Price Changes

We reserve the right to change our fees upon 30 days' prior notice. Continued use of the Services after the price change becomes effective constitutes your acceptance of the new fees.

4.5 Cancellation

You may cancel your subscription at any time through your account settings or by contacting us. Cancellation will take effect at the end of your current billing period. No refunds will be provided for partial billing periods.

5. Merchant Responsibilities

5.1 Compliance with Laws

You are responsible for ensuring that your use of the Services and operation of your business complies with all applicable laws, regulations, and industry standards, including food safety regulations, tax laws, and consumer protection laws.

5.2 Customer Relationships

You are solely responsible for your relationship with your customers, including order fulfillment, product quality, customer service, and dispute resolution. GoTasty is not a party to transactions between you and your customers.

5.3 Content

You are responsible for all content you upload to the Services, including menu items, images, descriptions, and pricing. You represent and warrant that you have all necessary rights to such content and that it does not violate any third-party rights.

5.4 Prohibited Activities

You agree not to:

  • Use the Services for any unlawful purpose
  • Violate any applicable laws or regulations
  • Infringe on any third-party intellectual property rights
  • Upload malicious code or interfere with the Services
  • Attempt to gain unauthorized access to our systems
  • Use the Services to send spam or unsolicited communications
  • Misrepresent your identity or affiliation

6. Intellectual Property

6.1 GoTasty Ownership

GoTasty and its licensors retain all rights, title, and interest in and to the Services, including all related intellectual property rights. These Terms do not grant you any rights to use GoTasty's trademarks, logos, or other brand features without our prior written consent.

6.2 Your Content

You retain ownership of any content you upload to the Services. By uploading content, you grant GoTasty a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display such content solely for the purpose of providing the Services.

6.3 Feedback

If you provide us with feedback or suggestions about the Services, you grant us the right to use such feedback without any obligation to you.

7. Data and Privacy

7.1 Privacy Policy

Your use of the Services is subject to our Privacy Policy, which describes how we collect, use, and share your information.

7.2 Customer Data

You retain ownership of customer data collected through your use of the Services. You are responsible for obtaining any necessary consents for the collection and use of customer data in accordance with applicable privacy laws.

7.3 Data Processing

GoTasty processes customer data on your behalf to provide the Services. We will only process such data in accordance with your instructions and applicable law.

8. Third-Party Services

The Services may integrate with or link to third-party services, including payment processors, POS systems, and delivery platforms. Your use of such third-party services is subject to their respective terms and privacy policies. GoTasty is not responsible for third-party services.

9. Disclaimers

9.1 "As Is" Basis

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9.2 No Guarantee

We do not guarantee that the Services will be uninterrupted, error-free, or completely secure. We are not responsible for any delays, delivery failures, or other damage resulting from limitations or issues with internet connectivity.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GOTASTY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your use or inability to use the Services
  • Any unauthorized access to or use of our servers
  • Any interruption or cessation of transmission to or from the Services
  • Any bugs, viruses, or other harmful code transmitted through the Services
  • Any errors or omissions in any content

IN NO EVENT SHALL GOTASTY'S TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID TO GOTASTY IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless GoTasty and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of the Services, your violation of these Terms, or your violation of any third-party rights.

12. Termination

12.1 Termination by You

You may terminate your account at any time by following the instructions in your account settings or by contacting us.

12.2 Termination by GoTasty

We may suspend or terminate your account and access to the Services at any time, with or without cause, and with or without notice. We may also remove or disable any content or accounts at our sole discretion.

12.3 Effect of Termination

Upon termination, your right to use the Services will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability.

13. Dispute Resolution

13.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions.

13.2 Arbitration

Any dispute arising out of or relating to these Terms or the Services shall be resolved by binding arbitration in Austin, Texas, in accordance with the rules of the American Arbitration Association. Judgment on the award may be entered in any court of competent jurisdiction.

13.3 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

14. General Provisions

14.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and GoTasty regarding the Services and supersede all prior agreements.

14.2 Waiver

The failure of GoTasty to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

14.3 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

14.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.

14.5 Modifications

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by email or through a notice on our Services prior to the change becoming effective. Your continued use of the Services after the effective date of the revised Terms constitutes your acceptance of the changes.
